1. Introduction
Welcome to Submit Your Bid ("the Company"). By applying to become a contractor with Submit Your Bid, you agree to comply with and be bound by the following terms and conditions. Please read these terms carefully before submitting your application.
2. Eligibility
To be eligible to apply, you must:
Be at least 18 years old.
Possess the necessary licenses, permits, and insurance required to perform the services you offer. Comply with all relevant local, state, and federal regulations and laws.
3. Application and Verification
You agree to provide accurate, complete, and current information during the application process. The Company reserves the right to verify the information provided, including conducting background checks and contacting references.
The Company may reject any application at its sole discretion without providing reasons.
4. Independent Contractor Status
You acknowledge that your relationship with the Company is that of an independent contractor. You are not an employee, agent, or representative of the Company.
You are responsible for your own taxes, insurance, and compliance with all applicable laws and regulations.
5. Service Standards
You agree to perform all services in a professional, competent, and timely manner.
You shall use high-quality materials and follow industry standards and best practices.
You are solely responsible for any warranties, guarantees, or representations made regarding your services.
6. Liability and Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, and expenses arising out of or in connection with your services, breach of these terms, or violation of any laws or regulations. The Company is not liable for any direct, indirect, incidental, special, or consequential damages resulting from your services.
7. Insurance
You are required to maintain general liability insurance and any other insurance required by law or deemed necessary by the Company. You agree to provide proof of insurance upon request and notify the Company of any changes to your insurance coverage.
8. Confidentiality
You agree to maintain the confidentiality of any proprietary or confidential information disclosed by the Company or clients. You shall not disclose, use, or exploit such information for any purpose other than performing the services.
9. Termination
The Company reserves the right to terminate your contractor status at any time, with or without cause, by providing written notice. You may terminate your relationship with the Company by providing written notice. Termination does not relieve you of any obligations incurred prior to termination.
10. Dispute Resolution
Any disputes arising out of or in connection with these terms shall be resolved through good faith negotiations between the parties. If negotiations fail, disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state where the Company is headquartered.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of the state where the Company is headquartered, without regard to its conflict of laws principles.
12. Amendments
The Company reserves the right to amend these terms and conditions at any time. Any changes will be posted on the Company's website and will be effective immediately upon posting.
13. Entire Agreement
These terms and conditions constitute the entire agreement between you and the Company regarding your application and services and supersede all prior agreements and understandings.
14. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
